BDR Beteiligungs GmbH is a holding company based in Berlin. Our single purpose is to hold participations in other capital companies — in our own name and for our own account.
A participation is a long-term commitment. We hold our interests as an owner, not as an intermediary: the shares we hold are ours, the decisions we take are our own, and the responsibility that comes with ownership rests with us. It is the most direct and transparent way of holding a stake in a business, and it is the only way in which we operate.
What sets us apart from much of the investment world is what we deliberately do not do. We are not a service provider for third parties. We do not manage money on behalf of others, we do not advise clients and we do not broker transactions. Our activities concern our own holdings and nothing else.
As a German GmbH we work within a well-defined legal framework: a clear corporate structure, proper accounting and annual financial statements in accordance with commercial law, and defined responsibilities. For the companies in which we hold interests, and for banks, notaries, auditors and other business partners, this means a straightforward counterpart with a clear legal identity.
We keep our organisation deliberately focused. A narrow purpose allows us to concentrate on what an owner has to do well — reviewing carefully, deciding responsibly, keeping records in order and staying informed about the companies we hold.
Our principles
Participations are held by BDR Beteiligungs GmbH itself, so it is always clear who the shareholder is and who carries the responsibility of ownership.
The economic result of each participation rests with the company. We do not invest on behalf of clients and we do not pool funds for third parties.
Our focus is on holding and looking after participations over time, not on providing services around them.
02 — Our activities
Everything we do relates to our own participations. These are the activities that make up the day-to-day work of BDR Beteiligungs GmbH — none of them is offered as a service to others.
We acquire shares and other membership interests in capital companies and hold them in our own name. Every step, from the first review to formal completion, is carried out for BDR Beteiligungs GmbH itself.
As a shareholder we take part in shareholders’ meetings, exercise voting and information rights and take the decisions that belong to an owner. We document these decisions carefully.
We follow the development of the companies in which we hold interests: reviewing financial statements and reports, discussing key developments with their management and assessing what they mean for our position.
We keep the legal side of our holdings in order: articles of association, shareholder resolutions, shareholder lists and, where applicable, agreements with co-shareholders.
Distributions and other returns from participations flow to BDR Beteiligungs GmbH and are managed as the company’s own funds. We decide how to use them in our own interest and on our own account.
We maintain proper accounting, prepare annual financial statements in line with German commercial law and meet our tax and regulatory obligations. Reliable records keep our participations transparent for auditors, banks and authorities.
03 — Our approach
Ownership is a responsibility that continues after the transaction. Our way of working is simple, and we apply it to every participation in the same way.
Before any decision, we look closely at the company, its structure and its documents, and consider what ownership would mean for BDR Beteiligungs GmbH.
Decisions are taken by BDR Beteiligungs GmbH itself, in its own interest and on its own account — never on behalf of someone else.
Once a participation is held, we exercise our rights as a shareholder, stay informed and keep the documentation complete and current.
We revisit each holding from time to time and adapt how we look after it as circumstances change.
Ownership is a responsibility, not a product.
04 — Why BDR
For the companies we hold, and for the partners we work with, our structure has practical advantages.
Because we act in our own name, there is never any doubt about who the shareholder is. Business partners, banks, notaries and the companies themselves deal directly with BDR Beteiligungs GmbH — one legal entity, one point of responsibility.
Participations are held in order to be looked after. For the companies concerned, that means a patient shareholder with a steady view rather than a short-term counterpart.
We hold no client mandates and have no duty to act for others. Our decisions follow from the interest of the company and the needs of each participation.
Short lines of communication. Enquiries go straight to the company by email, and we answer in clear, plain language.
As a GmbH based in Berlin we operate under German company and commercial law, with transparent corporate records and defined responsibilities.
